• Proposals & Engagements: All client engagements are governed by separate contracts or service agreements. These outline deliverables, timelines, and payment terms.
• Client Responsibilities: Clients must provide accurate information, approvals, and materials in a timely manner. Octaloop is not liable for delays caused by client-side inaction.
• Intellectual Property: Final deliverables (e.g., designs, campaigns, content) transfer to the client only upon full payment, unless otherwise agreed. Drafts, strategies, and proprietary tools remain Octaloop’s intellectual property.
• Results Disclaimer: While Octaloop applies industry best practices, we do not guarantee specific marketing outcomes (e.g., rankings, sales, leads), as results depend on many external factors.

4. Events & Ticketing

• Registration: Event participation requires a valid ticket purchased through our official platforms. Tickets are personal, non-transferable, and must be presented at entry.
• Pricing & Payments: All ticket prices and sponsorship fees are listed in INR (unless specified otherwise). Payments must be made in full at the time of purchase.
• Refunds & Cancellations: Unless otherwise stated, tickets are non-refundable. In exceptional cases (event cancellation by us), full or partial refunds may be provided.
• Event Changes: Octaloop reserves the right to change speakers, schedules, or venue details due to unforeseen circumstances. We will notify registered participants promptly.
• Code of Conduct: Attendees must maintain professional and respectful behavior. Harassment, discrimination, or disruptive conduct may lead to removal without refund.
• Liability Disclaimer: Octaloop is not responsible for personal injury, loss, or damage of property during events.

5. User Accounts & Conduct

• You may be required to create an account for certain services. You must provide accurate and complete information.
• You are responsible for maintaining the confidentiality of your account credentials.
• Misuse of the Service (fraud, harassment, hacking, or spamming) is strictly prohibited and may result in termination.

6. Payments & Refund Policy

• Marketing Services: Fees are as per signed agreements. Late payments may incur interest charges.
• Events: Payments for tickets and sponsorships must be made in advance. Unless expressly mentioned, no refunds are provided.

7. Intellectual Property Rights

• All materials, branding, and content created by Octaloop remain our property unless transferred by written agreement.
• Event recordings, photographs, and media coverage may be used by Octaloop for marketing and promotional purposes. Attendance implies consent.

8. Disclaimers & Limitation of Liability

• Our services and events are provided on an “as is” basis. We disclaim all warranties—express or implied.
• Octaloop is not liable for indirect, incidental, or consequential damages arising from your use of our services or participation in events.
• For marketing clients, Octaloop’s maximum liability is limited to the amount paid by the client under the specific engagement.

9. Termination

• We reserve the right to suspend or terminate access to our services or events if these Terms are violated.
• Upon termination, your right to use our Service immediately ceases.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall fall under the exclusive jurisdiction of the courts of New Delhi, India.
